AGREEMENT FOR SUPPLY OF DPD BOOKS TO AN AUTHORIZED AGENT

 

This Agreement is made on this ___________ day of __________20__ BETWEEN Publications Division, Government of India, Ministry of Information & Broadcasting having its office at “Soochna Bhawan”, CGO Complex, Lodhi Road, New Delhi – 110 003 acting through its DG/ADG/Director/Business Manager/Assistant Business Manager(HQ) for and on behalf of the “President of India” (hereinafter referred to as the party of the first part) AND M/s._______________________________ having their registered office at ______________________________________________ and acting through its _______ (hereinafter called the party of the Second part).  The expression “Party of the First Part” and the “Party of the Second Part” shall include their successors and assignees.

WHEREAS the Party of the First Part is a Government Department under the Ministry of Information & Broadcasting and is engaged in the work of bringing out publications, sale, marketing and promotions of books & journals.

AND

WHEREAS the Party of the Second Part, i.e. M/s.________________________________________ is engaged in the sale of books / journals and has desired to sell, market and distribute the books / journals published by the Party of the First Part.

NOW THIS AGREEMENT WITNESSETH AS UNDER :

1.      That the Agent shall deposit with the Publications Division (DPD) a sum of Rs.1000 (Rupees One Thousand only) as a one-time non-refundable Registration Fee  which will remain with the Publications Division as interest free security.

 

2.      That this Dealership/Agency shall be non-transferrable.  If the Agent further sells the DPD books/journals on Credit or incurs any other liability in doing so he/she/they will do so entirely at his/her/their own risk and liability.

 

3.      That the Agent shall get discount on the printed price of the DPD Publications in accordance with  Clause  4 (i) of the existing Business Policy  of the Publications Division, brief detail of which is as under :

4.      That in accordance with “Clause 6” of the existing Business Policy, Agents will be given 120 days credit facility against an EMD of 50% of gross purchase.  The amount of Credit can be enhanced against suitable Fixed Deposit in favour of DG/ADG, DPD. 

 

5.      That in accordance with “Clause 6” of the existing Business Policy, the Agent availing 45% discount on Books will be given a Return facility.  Return of books to the extent of 20% of stock lifted by Bookseller/Agent will be allowed in a year, subject to the condition that the books returned are in saleable condition. However, the return would not be applicable for the Annual Reference Book “India/Bharat” which has a limited shelf value.

 

6.      That the Agent shall sell the DPD publications at their printed price.  The Agent shall, however, be allowed to give reasonable discount on sales to libraries, educational institutions, government departments, etc. as per existing discount structure of DPD.

 

7.      That as per the Clause 4 of the existing business policy, the dispatch cost for a single destination shall be borne by the agent upto the order value of Rs. 10,000/-. The desptach cost for orders of Rs. 10,001 and above, for a single destination, shall be shared equally by DPD & Agent. However, for more than one destination, the cost shall be borne entirely by the Agent.

 

8.      All supplies shall be made to the Agent on “outright sale basis” against cash payment/on-line payment or payment through bank.  However, credit facility may be allowed in accordance with Clause 6 of the Business Policy and Clause 3 of this Agreement.

 

9.      That this Agreement shall remain in force till such time it is terminated by either side by giving one month’s notice. However, Party of the First Part reserves the right to cancel the agreement without notice and without assigning any reason thereof.

 

10.  That any dispute or claim arising out of this Agreement shall be subject to the exclusive jurisdiction of the Delhi Courts.

 

11.  That the Publications Division (DPD) reserves its right to add, delete or modify any of the terms and conditions to its sole discretion.

 

IN WITNESS WHEREOF THE parties of the first part and second part, as mentioned above, signed this agreement the day, date and the year written above in the opening para.
